The Bosnian practice of BDK Advokati in cooperation with attorney-at-law Dijana Pejić advised British American Tobacco (BAT) on the acquisition of the assets of the Bosnian tobacco products manufacturer Fabrika Duhana Sarajevo (FDS). The target assets comprise a trademark portfolio (Aura, Drina, Code and Royal) and 100% of shares of the retailer Tobacco Press Mostar. As part of the overall transaction, BAT and FDS also entered into a long-term contract manufacturing agreement according to which FDS will continue to produce for BAT tobacco products under the trademarks sold to BAT.
The closing of the transaction took place on 7 August 2017, following the merger clearance by the Bosnian competition authority and the internal approvals at the level of FDS.
BDK’s M&A team was coordinated by senior partner Vladimir Dašić, while the Bosnian law advice was provided by attorney at law Dijana Pejić Šinik. Dragoljub Sretenović assisted with finance aspects of the deal. The IP law advice was coordinated by partner Bogdan Ivanišević and associate Marko Popović, while managing partner Tijana Kojović and associate Bisera Andrijašević coordinated competition law aspects of the deal, including representation before the Bosnian Competition Council in the merger clearance proceedings.
